Software Subscription and Services Agreement

1. Introduction

This Software Subscription and Services Agreement ("Agreement") is entered into by and between:

Gulisons Digital Pvt. Ltd., a company incorporated under the laws of India, having its registered office at 1401, SVH Metro Street, Sector 83, Gurugram, Haryana – 122004 (hereinafter referred to as "Company", "We", "Us", or "Our"), and

The Bar Association or legal entity that registers for and uses the BarPortal Platform (hereinafter referred to as "Subscriber", "You", or "Your").

Important: By accessing, registering for, or using the BarPortal Platform, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth in this Agreement.

2. Definitions

For the purposes of this Agreement:

  • "Platform" means the BarPortal software-as-a-service solution, including all associated applications, tools, APIs, and documentation.
  • "Effective Date" means the date on which the Subscriber electronically accepts this Agreement or first accesses the Platform.
  • "Subscription Fee" means the annual fee payable by the Subscriber for access to and use of the Platform.
  • "Member" means any lawyer or advocate registered with the Subscriber's Bar Association who uses the Platform.
  • "Confidential Information" means any non-public information disclosed by either party that is designated as confidential.

3. Subscription & License

3.1 Grant of License

Subject to the terms of this Agreement and payment of applicable Subscription Fees, the Company grants to the Subscriber a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform.

3.2 Subscription Term

This Agreement shall commence on the Effective Date and shall continue in effect until terminated by either party. There is no fixed contract term; the subscription continues on a rolling basis subject to annual fee payments.

3.3 Restrictions

The Subscriber shall not:

  • Sublicense, sell, resell, transfer, or distribute the Platform to any third party
  • Modify, adapt, or create derivative works based on the Platform
  • Reverse engineer, disassemble, or decompile the Platform
  • Access the Platform to build a competitive product or service

4. Scope of Services

The Platform includes the following core functionality:

  • Management of Bar Association member profiles and details
  • Tracking of membership subscriptions, fees, and payment status
  • Processing of applications and issuance of ID cards and parking stickers
  • QR code generation and verification for issued documents
  • Communication tools including notifications, email, and SMS alerts
  • Basic reporting and data export functionality
  • Online payment collection through integrated payment gateways

5. Fees & Payment

5.1 Subscription Fee

The Subscriber shall pay an annual Subscription Fee as mutually agreed. All fees are quoted in Indian Rupees (INR).

Price Revision: The Subscription Fee shall be subject to an automatic increase of 15% (fifteen percent) every three (3) years from the Effective Date. This increase shall apply automatically without requiring separate notice or consent.

5.2 Infrastructure Cost Adjustment

In the event of significant increases in third-party infrastructure costs (including cloud hosting, payment gateway fees, SMS services), the Company reserves the right to pass through such increases proportionately, subject to 60 days written notice.

5.3 Late Payment

  • Overdue amounts shall bear interest at 1.5% per month
  • The Company may suspend access after 15 days of non-payment
  • Continued non-payment for 60 days constitutes material breach

6. Termination

6.1 Termination by Subscriber

The Subscriber may terminate this Agreement at any time by providing 90 days prior written notice. No refund shall be provided for any prepaid Subscription Fees upon voluntary termination.

6.2 Effect of Termination

  • Days 1-30: Subscriber may export their data in standard formats
  • Day 31: Access to the Platform shall be terminated
  • Day 90: All Subscriber data shall be permanently deleted

7. Data Retention & Privacy

The Company maintains data retention policies for operational efficiency and privacy protection. Uploaded documents are automatically purged from servers 6 months after the related document is issued.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose such information to any third party without prior written consent.

9. Intellectual Property

The Company retains all rights, title, and interest in and to the Platform. No transfer of ownership occurs under this Agreement. White-labeling or re-branding of the Platform is expressly prohibited.

10. Warranties & Disclaimers

The Company warrants that the Platform will perform substantially in accordance with its documentation. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

11. Limitation of Liability

THE COMPANY'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE SUBSCRIPTION FEES PAID IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Governing Law

This Agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana.
